On 6th June 2025, the Company announced that Pinewood.AI and Lithia UK Holdings Limited a wholly-owned subsidiary of Lithia Motors, Inc., had reached agreement for the acquisition of the 51 per cent. interest in Pinewood North America LLC for a total consideration of $76.5 million, to be satisfied by the issue of 14,560,691 new ordinary shares in the capital of Pinewood.AI.

Acquisition and Admission of New Ordinary Shares

On 31 July 2025, the New Ordinary Shares issued to the Seller in connection with the Acquisition were admitted to the equity shares (commercial companies) category of the Official List of the FCA and to trading on the main market for listed securities of London Stock Exchange.
