RIT Capital Partners publishes circular to announce strategic capital allocation initiatives and the launch of a Tender Offer to purchase up to £300 million of Shares in the Company

RIT Capital Partners plc is listed on the LSE Main Market and a constituent of the FTSE 250. It is one of the UK’s largest and longest-established investment trusts and its objective is to preserve and grow shareholders’ wealth over the long term by investing in a diversified portfolio of public and private assets around the world.

Originally established as the Rothschild Investment Trust in 1961, the Company is headquartered in St James’s, London and has approximately £4.4 billion of assets under management.

The Company is managed by its wholly owned subsidiary; J. Rothschild Capital Management Limited and the Rothschild family remain its largest shareholder.

 

Publication of circular

On 8 July 2026, the Company announced:

  • A tender offer for up to £300 million of Shares at a 15% discount to preliminary NAV as at 30 June 2026, which is expected to be meaningfully accretive to NAV per share for continuing Shareholders;
  • A review of dividend policy, including consideration of an increased dividend from 2027;
  • The continuation of the Company’s active share buyback programme; and
  • The continued application of a disciplined capital allocation framework focused on long-term value creation
