Scheme document published for the £545 million recommended acquisition of Pinewood Technologies by Ridgeview Partners

Pinewood Technologies Group plc is an LSE AIM listed automotive technology and software company focused on providing cloud-based software to vehicle manufacturers and automotive dealer groups.

Its technology, marketed under the Pinewood.AI brand, provides an integrated dealer management system covering areas such as vehicle sales, aftersales, finance, customer management and dealership operations. The company has evolved from the Pinewood software business that was historically part of Pendragon.

Following the sale of Pendragon’s UK dealer operations to Lithia Motors, Pinewood was separated and became an independent listed technology business. It has since been pursuing international expansion, including acquisitions such as Seez and taking full ownership of its North American joint venture.

Ridgeview Partners is a US-based, growth-oriented technology private equity firm, headquartered in San Francisco. It focuses on investing in and helping develop technology and software businesses, particularly those with opportunities for growth and operational improvement.

The firm was founded relatively recently and has made investments including PayRange, a software and payments platform for unattended retail, and Radiant Logic, an identity and access management software business.

On 19 August 2026, the boards of directors of each of U.K. Piston Bidco Limited (“Bidco”) a newly formed company indirectly owned by entities administered by Ridgeview Partners and Pinewood Technologies announced that they had reached agreement on the terms of a recommended acquisition, pursuant to which Bidco will acquire the entire issued and to be issued ordinary share capital of Pinewood.AI.
