Scheme document published for the £62.34 million recommended Cash Offer by DLM Bidco, a consortium led by BaltCap for Xpediator

DLM Bidco is a consortium led by BaltCap, the largest private equity fund manager in the Baltics, with its co-investors, Cogels Investments, whose director Stephen Blyth, is the founder and former Chief Executive of Xpediator and Nuoma IR Kapitalas has made an offer to acquire Xpediator which was announced on 6th April 2023.
Xpediator is a fast-growing international freight management company currently listed on the AIM Market of the London Stock Exchange. It provides logistics, transportation services and transport support solutions in the CEE and the UK.
Established in 1988, the company has evolved into an integrated freight management business, with well-established and successful customs clearance, multi-modal transport, storage, fulfilment and distribution operations in its key markets in the UK and Europe, with specific expertise in Central and Eastern European countries.
Xpediator operates through three segments: Freight Forwarding, Logistics & Warehousing, and Transport Support Services. The company offers freight forwarding and transport solutions by road, ocean, and air, as well as stock management, short- and long-term warehousing, and on-site packing services. Xpediator group employs over 1,500 people across the UK, Bulgaria, Lithuania, Estonia, Macedonia, Montenegro, Moldova, Romania and Serbia, operating from over 35 sites in these and other countries.
The consortium aims to boost further the company’s core freight forwarding offering in Europe and internationally and develop the UK-based businesses.

Having produced the admission document when Xpediator floated on AIM in August 2017 and all stages of corporate reporting during their corporate journey as a listed company, the Perivan shareholder communications team was delighted to work with Zeus Capital who acted as Financial Adviser, Nominated Adviser and Corporate Broker and Addleshaw Goddard who provided legal advice to Xpediator on the production of the 115-page Scheme and associated ancillary documents, which were successfully published and posted to qualifying shareholders on 4th May 2023.
