Scheme document published for the £660 million recommended cash acquisition by H.B. Fuller for Advanced Medical Solutions

AMS has a wide range of surgical products including tissue adhesives, sutures, haemostats, internal fixation devices and internal sealants, which it markets under its brands LiquiBand®, RESORBA®, LiquiBandFix8®, and Seal-G®. H.B. Fuller Company is an NYSE listed Company and one of the world’s largest manufacturers of adhesives, sealants and other specialty chemical products. Founded in 1887 and headquartered in St. Paul, Minnesota, the company develops high-performance bonding solutions used across a wide range of industries, including packaging, construction, hygiene, electronics, automotive, medical devices, aerospace and consumer goods.

On 25 June 2026, the boards of directors of H.B. Fuller and AMS announced they had reached agreement on the terms of a recommended cash acquisition of the entire issued and to be issued ordinary share capital of AMS by H.B. Fuller Medical Adhesive Technologies Inc., a wholly owned subsidiary of H.B. Fuller.
The Acquisition values the entire issued and to be issued ordinary share capital of AMS at approximately £660 million and implies an enterprise value of approximately £716 million.
