Scheme document published for the £82.3 million recommended cash acquisition of Science in Sport by bd-capital Partners

Science in Sport (SIS) is an AIM listed sports nutrition company headquartered in London. It develops, manufactures, and markets nutrition products for athletes, sports enthusiasts, and the active lifestyle community. The company operates two main brands: PhD Nutrition, focusing on the gym lifestyle community, and SiS, a leading endurance nutrition brand for elite athletes.

The two brands sell through the Group’s digital platforms, third-party online sites, including Amazon and eBay, and extensive retail distribution in the UK and internationally, including major supermarkets, high street chains and specialist sports retailers.

On 17th April 2025, following an announcement on 16 April 2025 relating to advanced discussions between bd-capital and SiS, the Bidco Board and the Independent SiS Directors announced that they had reached agreement on the terms of a recommended all cash acquisition by Einstein Bidco, a newly formed company indirectly wholly-owned by funds advised by bd-capital, of the entire issued and to be issued ordinary share capital of SiS to be effected by means of a scheme of arrangement under Part 26 of the Companies Act 2006.
