Scheme document published for the US$360 million recommended cash acquisition of Capricorn Energy by Genel Energy No.9

Genel Energy plc is a Main Market-listed independent oil producer with production assets in the Kurdistan Region of Iraq and exploration licences in Oman and Somaliland. The Company focuses on building resilient, diversified cash flows through disciplined investment and strategic acquisitions.

On 2 July 2026, the boards of Genel Energy plc, Genel Energy No.9 Limited and Capricorn Energy PLC announced that they had reached agreement on the terms of a recommended cash acquisition of the entire issued and to be issued ordinary share capital of Capricorn. The acquisition is being implemented by means of a Scottish Court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006.
